Terms of Service

Effective 26 September 2026 · DecimaWorks · george@decimaworks.com

In short

1. Who this agreement is between

These terms are an agreement between you and DecimaWorks (“DecimaWorks”, “we”, “us”). They apply when you download, install, sign in to or use the Nexus desktop application (“Nexus” or “the software”) and the account services that support it.

By creating an account or using Nexus you accept these terms. If you use Nexus for an employer or another organisation, you confirm that you have the authority to accept these terms for that organisation, and “you” includes it.

Our Privacy Policy explains what data we collect and how we handle it. It is part of this agreement.

2. What Nexus is

Nexus is a desktop application. With your permission it reads your own Gmail mailbox and builds a private knowledge layer on your computer: the projects you work on, the commitments you and others have made, and the people in your network. It shows you what needs your attention. The knowledge layer lives on your computer. Our cloud service signs you in, holds your licence and, on plans that include AI, relays AI requests. See the Privacy Policy for the full data picture.

Nexus is an early product. We change it often, and some features are experimental. We describe the current state of the software on decimaworks.com and in the application itself.

3. Your account and invitation

4. Your licence to use Nexus

While your plan is active and you follow these terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and run Nexus on computers you control, for your own work, up to the number of seats on your plan.

You may not, and may not let anyone else:

We and our licensors own the software and everything in it, including its design, code, models, prompts and documentation. Nothing in these terms gives you ownership of any of it. Nexus includes open-source components, each under its own licence; those licences apply to those components.

5. Plans, fees and AI usage

6. Acceptable use

Use Nexus only on mailboxes you own or are authorised to read. Do not use Nexus:

If you use Nexus on a work mailbox, you are responsible for any consent or notice your employer or your local law requires.

7. Your data and your content

8. Google and other third-party services

Nexus connects to Google to sign you in and to read your Gmail with the read-only permission you grant. Google’s terms and privacy policy govern your Google account. You can withdraw Nexus’s access at any time at myaccount.google.com/permissions; Nexus then stops reading new mail. Our use of information from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements.

If you connect your own AI provider, or connect an AI tool to Nexus through the agent access feature, that provider’s or tool’s terms govern what it does with the data you send it.

9. AI output

Nexus uses AI models to read your mail and to write the summaries, commitments and project pages it shows you. AI output can be wrong, incomplete or out of date. Nexus shows the mail each statement rests on so that you can check it. Use your own judgment before you act on anything Nexus tells you. We are not responsible for decisions you make based on AI output.

10. Updates and changes to the software

Nexus checks for updates and installs them automatically so that every copy stays current and secure. We may require a minimum version to keep using the service. We may add, change or remove features at any time. If a change removes something important to you, you can end the agreement under section 13.

11. No warranty

We provide Nexus and our services “as is” and “as available”. To the fullest extent the law allows, we make no warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not promise that the software will be free of errors or interruptions, or that AI output will be correct. Some jurisdictions do not allow these exclusions; where that is the case, they apply to you only as far as the law permits.

12. Limitation of liability

To the fullest extent the law allows:

These limits do not apply to liability that the law does not allow us to limit, such as liability for fraud or for death or personal injury caused by negligence.

You agree to defend and compensate us for claims by third parties that arise from your breach of these terms or from your use of Nexus in a way that breaks the law.

13. Ending the agreement

14. Governing law and disputes

These terms are governed by the laws of the place where DecimaWorks is established, without regard to conflict-of-law rules, and the courts of that place have exclusive jurisdiction over any dispute about these terms, except that either side may seek an injunction in any court to protect its intellectual property. If you are a consumer, the mandatory consumer-protection law of the country where you live still applies to you.

Before either side starts a legal claim, we agree to try to resolve the dispute by discussion for at least 30 days after one side notifies the other in writing.

15. Changes to these terms

We may change these terms. When we do, we post the new version at decimaworks.com/terms with a new effective date, and for a material change we tell you in the application or by email before it takes effect. If you keep using Nexus after the effective date, you accept the new terms. If you do not agree, stop using Nexus and close your account.

If any part of these terms is found unenforceable, the rest stays in force. These terms and the Privacy Policy are the whole agreement between you and us about Nexus. You may not assign this agreement; we may assign it to a successor of our business.
